GENERAL TERMS AND CONDITIONS OF TEDTRIP (Tglobal S.r.l.)
“Site”: the domain https://Tedtrip.eu, including any subdomains, any URL or portions thereof.
“Contents”: files containing texts, images, audio and / or video recordings, data and / information organized in the form of a database and in any case all the elements, documents and / or information in any format that Tglobal makes available through the tedtrip website. eu, the Application or the Services, including any Content licensed by a third party; files containing texts, images, audio and / or video recordings, data and / or information organized in the form of a database and in any case all elements, documents and / or information in any format are transmitted, copied, sent, made available by TEDs and / or Site Visitors and / or in any case. Each of the Content will also be referred to as “Content”.
“Service”: Services that Tglobal offers through its Website, including the provision of an online space to view, book or publish, offers of Experiences and other Content.
“Gift Card”: codes, uniquely generated, that allow the purchase of Experiences, for a determined total value. This value is identified in the sum paid by the user for the generation of this code.
“User”: all natural or legal persons who access the Site, including, but not limited to, EDs, travelers and Affiliates
“Personal data”: all personal information relating to each user, including the person’s name, address and telephone number, collected through the Site and the mandatory information required to facilitate the purchase (for example, tax code, hobby. ..).
“Ted” or “TED”: each User who makes an Experience available using the tglobal site. It is irrelevant to Tglobal whether the subject is the real Ted or a mere keeper.
“Traveler”: each User who books an Experience through the Site.
“Item or Product”: Experience indicated as bookable by a Ted through the Site, Application and Services.
“Experience”: means any service offered by the site, for example organized tours, courses of various kinds, events, or outdoor activities (list to be considered neither exhaustive nor exhaustive but for information purposes only).
“Announcement”: Publication of a form relating to an Article by a Ted.
“Affiliate”: User who books an Experience through the site, even in the name of a customer, and who uses the Affiliate tools, tracked links, widgets, control panel for reservations.
“Booking request”: Request made by a User who expresses the desire to book an Experience present in a specific Announcement.
“Booking Acceptance Time”: period of time (having a duration established at the discretion of Tglobal), starting from the Booking Request by a User and during which a Ted can decide whether to confirm or reject the Booking Request, as established on the Site, Application or Services. It is specified that the Acceptance time cannot exceed 7 days, after which the request automatically expires.
“Booking Acceptance”: Acceptance by Ted of the Booking Request formulated by the traveler.
“Fee”: amount due by the traveler in order to enjoy the experience.
“Transaction”: payment of the Consideration due to TED.
2a. Tglobal is not a party to any contract
The Services offered by Tglobal take place through an online platform (contained in the Site and in the Tedtrip Application), through which TEDs can display Ads related to experiences and travelers can inquire and book such experiences directly with TEDs. Therefore, Tglobal does not provide Experience Purchase Services.
2b Approval of Announcements
Tglobal reserves the right to approve any announcement proposed by TEDs before it is made public on the online platform.
The approval to which Tglobal refers is inherent only to the form of the announcement, not involving in any way a positive evaluation or responsibility towards its object.
All email communications sent from the Site to the User are intended as received by the User, thus making them known to the User.
Ted’s contact details can be sent to the traveler once the booking request has been accepted.
In order to formulate a booking request, in order to use the Services you must be of age and have the ability to conclude a binding contract. Tglobal can never be held responsible in case of disclosure of non-truthful personal data by minors.
The person who registers in the name and on behalf of an entity guarantees that he is authorized to accept these Conditions in the name and on behalf of the same.
Tglobal reserves the right to delete comments and content posted by users on the site only for the following reasons:
Inability to identify, verify or authenticate the origin of a comment;
Release of false statements;
Dissemination of confidential, illegal or offensive Content;
Violations of moral standards;
The use, copying or dissemination of works protected by copyright without express authorization;
The dissemination of unsolicited commercial messages (“spam”).
Tglobal (the company, its officers, directors, agents, or employees) is not responsible for complaints, requests or damages of any kind (actual and consequential) related to the deletion of comments and content posted by users on the site.
Tglobal reserves the right to change the content of this information for security or legal reasons. The changes will be made public and accessible at least one month before their entry into force on the website www.Tglobal.it and subdomains.
Announcements and Transactions
3.a Description of the Announcements
Ads describe Articles; they may include text, documents and images that the TEDs decide to upload on the card available, at their sole responsibility.
A category is associated with all the articles listed; TED is solely responsible for choosing the category in which it intends to insert its Article.
Specific conditions for providing the Experience, including the conditions for safe use, the security deposit and the availability calendar must be mentioned in the description of the Article.
The TED is entitled to ask the traveler to show a valid identity document or a certified copy.
In any case, TED, be it a natural person or a legal person, is not allowed to publish, where not expressly requested through the appropriate field, the contact information relating to their business, both in the Article form and in the description of their profile. under penalty of the possibility of Tglobal to exclude or “ban” such User from the Site.
The TED address, fax or telephone number, email address or any web address are considered as contact information.
3.b TED cannot change the Transaction Price once the Booking Request has been accepted. TED cannot in any case change the Transaction Price, once accepted. When accepting a Booking Request, TED undertakes to ask the traveler for the Consideration published in the Announcement.
Any attempts to change the Fee may result in the User being excluded from the Site.
3.c Exchange of contact information
The TED and the traveler cannot share (except after the Transaction has taken place) their identity, or their contact information.
Contacts between TED and the traveler can only take place within the Tglobal platform until the moment of payment.
Bookings and financial terms
“Consideration” indicates the sums due by a traveler and payable for the enjoyment of the Article object of the Announcement and any related Services.
Only TED, and not Tglobal, is responsible for establishing the Consideration for its Announcement.
4.b Reservations and financial terms for TEDs and travelers
Access, registration and consultation of the Site are free.
The Ted who is Requested a Reservation for his Item through the Site or Application, will be asked to confirm or ignore this Reservation Request. When a Reservation is Requested through the Site or Application, Tglobal will share with the TED:
a summary of the price and various information regarding the reservation;
information regarding the traveler who requested the reservation;
When the TED confirms a Reservation requested by a traveler, Tglobal will send an email, or a text message or confirmation of this reservation, depending on the selections made by TED through the Site, the Application and the Services.
4.c Appoint TrekkSoft AG as interim agent responsible for the collection of payments.
Through this document, TED appoints TrekkSoft AG (hereinafter: “TrekkSoft”) as its interim payment collection agent for the sole purpose of receiving the Consideration from travelers. On a regular monthly basis, TrekkSoft will pay Tglobal the fees accrued by the TEDs in order to allow Tglobal to pay the total fees accrued to the TEDs within 15 (fifteen) days of receipt of a regular invoice by the TED, containing the total accrued for the month. of competence already subtracted from the percentage of 25% in favor of Tglobal.
TED agrees that payment made by a traveler through TrekkSoft will be treated as a payment made directly to TED; the latter must make the Article available to the traveler in the manner agreed above, as if the Ted had received the Consideration.
Each Ted understands that TrekkSoft’s obligation to pay Tglobal the fees accrued by Ted itself is subject to and conditional upon receipt of payment by the traveler, given the fact that TrekkSOft accepts the related payments made by travelers as temporary agent of collection of payments. Tglobal does not guarantee payments in favor of TEDs of amounts whose payment has not been correctly made, by the relevant travelers, in favor of TrekkSoft.
In accepting the appointment of TED’s Authorized Interim Agent, TrekkSoft assumes no responsibility for any TED actions or omissions.
TrekkSoft will collect its Fee at the time of payment by the traveler (that is, after the TED confirms the Reservation) and will present the payment of the Fee accrued by TED to Tglobal on a regular monthly basis.
The Consideration on which TrekkSoft will meet its percentage and its fixed costs is to be understood as including VAT, as all the prices decided by the TEDs are to be understood as including VAT. Likewise, Tglobal intends its percentage of the Consideration due to TED including VAT. The time it takes for TED to receive payments may vary depending on the payment method chosen by TED. Some methods include the use of third-party payment processors, which may charge TED their own additional costs for the use of their Services, including by deducting them from the amount of the Transaction.
The TED accepts the Terms and Conditions provided by TrekkSoft, freely available on the site owned by the same.
4.d Reservations and financial terms for travelers
TEDs, and not Tglobal, are solely responsible for honoring any confirmed Booking and making any Item booked available through the Site, Application and Services.
The traveler understands and agrees that when he chooses to enter into a Transaction with a Ted in relation to an Item, he enters into an agreement with the Ted and agrees to accept any terms, conditions, rules and restrictions associated with such Item imposed by Ted and specified in the Announcement.
The responsibility for fulfilling the obligations of these agreements lies with the traveler alone, and not with Tglobal. Regardless of whether Tglobal is not a party to the agreement between the traveler and TED, TrekkSoft will act as the agent responsible for collecting TED payments for the sole purpose of accepting payments in the name and on behalf of the traveler.
Following the payment, the traveler’s obligation towards the TED relating to the Consideration will expire and TrekkSoft will be responsible for paying Tglobal the Consideration accrued by the TED, in the manner described in these Terms. In the event that the Company in charge does not pay such sums as described in these Terms, the TED may only act against that Company.
The traveler agrees to pay any confirmed Booking made in connection with their User Account, in accordance with these Terms, by means of one of the methods described on the Site or Application. The traveler authorizes the collection of these amounts by charging the credit card provided within the booking request process by means of one of the payment methods described on the Site or Application.
4.f Booking via Gift card
Gift cards will be sold in the appropriate sections of the site and may also be provided following further commercial and / or social initiatives.
4.g Booking and use through welfare and loyalty plans
Payments by Tglobal to the Experience organizer will be made within sixty (60) days from the day of acceptance of the Experience purchase request.
The regulation of the conditions for the use and / or booking of activities, items or Experiences through the welfare and / or corporate loyalty platforms is referred to the agreements between Tglobal and the buyer platform.
The aforementioned agreement can be consulted at the reference platform, Tglobal relieves itself of the responsibility of having to inform end users about the agreements.
Taxes, Licenses and Certifications
Tglobal cannot be considered on any occasion as a withholding agent towards Users or Members of the Site. Travelers and TEDs are solely responsible for any Taxes deriving from any Contract between them.
Depending on the circumstances, including the number of transactions conducted and the subject of the Transaction, the law may require licenses or certifications. The User agrees to be solely responsible for obtaining the licenses or certifications that may be necessary to execute a Transaction or otherwise use the Services of the Site. Tglobal does not undertake the burden of verifying the specific case in which it is necessary to have a license and / or a certificate for the use of the Services or the Site, or for carrying out a Transaction. Tglobal makes no representations or warranties regarding licenses or certificates of its Users or TEDs.
Responsibility of Tglobal
5.a Disclaimer of Warranties
The User accepts that the use of the Site and the Service offered by it is entirely at their own risk and responsibility, without prejudice to the obligations of Tglobal regarding the processing of personal data and any other charges pursuant to law. The Site and the Service are provided without guarantees and / or liability of any kind. All express and implied warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights are expressly excluded. Tglobal disclaims any guarantee for the safety, reliability, timeliness, accuracy and performance of the Site depending on fortuitous, external or in any case force majeure causes.
Tglobal disclaims any responsibility in relation to the ownership of the Articles covered by the Announcements: in the event that the person who publishes an Announcement is not Teda of the Article, Tglobal cannot be held responsible towards the real TED or others.
Tglobal disclaims any liability for other Services or goods received through the platform or advertised on the Site.
Tglobal declines all responsibility for the transmission of computer viruses or other harmful components in relation to the Site or the Service.
Tglobal declines all responsibility for the safety, reliability, timeliness and accuracy of the TED’s performance.
The preceding paragraphs apply to the sale of Experiences.
All the previous exclusions of guarantees and responsibilities are understood to be within the maximum limits established by law.
5.b Liability of Tglobal for non-fulfillment by third parties.
TED is solely responsible for providing the Experiences covered.
In the event of non-fulfillment, a penalty will be applied, possibly provided for in the Agreement between Tglobal and TED, pursuant to and for the purposes of Article 1382 of the Italian Civil Code. The penalty must be paid by TED within thirty (30) days from the date of non-fulfillment, which is identified as the day of non-provision of the service.
The amount of the penalty may be recognized to Tglobal which is obliged, within fifteen (15) days of receipt of the penalty, to refund the User for the damage suffered.
This compensation can be neither less nor greater than the penalty.
The penalty is equal to the value of the service already paid, plus 40%, regardless of the proof of the damage.
Tglobal can be in charge of conveying the reimbursement and payment of the penalty, at the request of one or both parties.
5.c Limitation of Liability
In no event can Tglobal be held liable for damage to third parties or contracting parties (TED and Traveler) resulting from the use of the Site or the Service, or resulting from any contract between TED and traveler. This disclaimer covers, among others, direct, indirect, incidental, special, exemplary and consequential damages, including: loss of profits, loss of data or loss of goodwill; computer damage; cost of replacement products or services; any damage related to personal or physical injury.
This limitation of liability is also intended to be extended to cases in which Tglobal is informed of the possibility of such damages.
The damages to which the limitation of liability refers may derive: from the use or abuse of the Site or the Service, from the inability to use the Site or the Service or from interruption, suspension, modification, alteration, or termination of the Site, the Service or to the accounts of the members.
This limitation also applies in relation to damages suffered due to other Services or products received through advertising or in connection with the Site or the Service or any link on the Site, as well as due to information or advice received through or advertised in connection with the Site or the Service or any link on the Site. These limitations apply to the maximum extent permitted by law.
5.d Damage to equipment
The traveler is responsible for leaving any equipment in the condition it was in at the time of delivery by TED, except for normal deterioration.
The traveler is responsible for his own acts or omissions, as well as for the acts or omissions of any single individual who is permitted to use the equipment for any reason.
5.e Security Deposits
The possibility is not excluded that the TED may request, at its discretion, a security deposit for the use of any equipment
Tglobal does not respond to any inconvenience, dispute or complaint concerning the security deposit, underlining its extraneousness to this request.
User safety and feedback
Tglobal could verify the identity of its Users through their tax code and bank details. Further verification is carried out by TrekkSoft, if it is used for payment.
Tglobal cannot be held responsible for any elusive behavior of its Users aimed at counterfeiting, evading, modifying or hiding their true identity in any way. Users are therefore invited to use every precaution deemed appropriate in order to ascertain the veracity of the identities of other Users and / or travelers.
6.a User Comments
Tglobal may make available to members and users a “Feedback” system, consisting of evaluations concerning the person with whom a Transaction has already been made. TEDs may request an evaluation or a comment relating to the lived experience. The assessment applies to both TED and travelers.
Content posted on or through the Site
7.a Content from Users
All Contents published on the Site, transmitted through, or accessible via links from the Site, are the sole responsibility of the User from whom such Contents originate.
The User is solely responsible for any Content posted, email or material otherwise made available through the Site. The User is aware that Tglobal does not control and is not responsible for the Content made available through the Site, and that by using the Site , the User may be exposed to offensive, indecent, inaccurate, illegal, misleading Content.
7.b Links to other websites
It is strictly forbidden to insert on the Site any link referring to websites or third-party resources unless expressly requested with appropriate fields.
However, should they be present for any reason, Tglobal cannot be held responsible for: (i) the availability or accuracy of such websites or resources; or (ii) the Content, products, or Services on or available from such websites or resources.
Links to such websites or resources do not imply any endorsement by Tglobal of such websites or resources or the Content, products or Services available from such websites or resources. The User assumes sole responsibility and assumes all risks arising from his use of such websites or resources or from the Contents, products or Services on or available from such websites or resources.
Furthermore, Tglobal is not responsible for the privacy policies or practices adopted on other websites.
When a Tglobal User clicks on a link that directs to another Site, the User is responsible for reading the privacy policies of that Website.
7.c User authorization
Without prejudice to the above, the Users irrevocably authorize Tglobal, and / or the other Users to whom Tglobal grants the right to use the Contents and any part or element thereof, without any restriction, worldwide, in perpetuity and in any case for the entire duration. legal protection as sanctioned in every country in the world, exclusively for the purposes strictly connected to the service provided by Tglobal.
By way of example but not limited to, the aforementioned authorization also includes the right to:
publish, disseminate, communicate to the public and make it available to the public so that everyone can have access to them at the time and place chosen individually, in whole or in part, with any means and / or technology and with any modality (including interactive ), currently known and / or developed in the future, the Contents through the Site;
for the purposes of the above, to reproduce and modify the Contents in any way or form to comply with the technological constraints imposed by the operating methods of the Site;
authorize other Users of the Site to reproduce the Contents in order to view them on their terminals using the Services and the Site. The above rights are understood to be granted on a non-exclusive basis and therefore the User remains entitled to use the same Contents in any shape and way.
7.d User declaration
The user declares to have full and legitimate possession of all the rights relating to the Contents (by way of example but not limited to: copyright, image and / or personality rights in general, trademark rights and other patent rights, rights protection of confidentiality, rights relating to the portrait, etc.) that it intends to publish.
The User expressly declares that where he is not fully the owner of the rights on the Contents he proceeds to Publish, he has been expressly authorized to dispose of the Contents by the third party holders of these rights and is therefore fully entitled to grant the authorization to use the Contents with the extent provided for in these Conditions.
The User undertakes not to publish any Content if such Content and / or its use:
is false, obscene, pornographic, defamatory, or includes racist, violent, offensive, harassing information, or instigates to commit crimes or is in any case illegal in Italy or in the place where the User uses the Services or the Site or on the basis of others however applicable laws;
violates the rules on the processing of personal data or on the protection of industrial secrecy and confidential information;
presupposes the User’s possession of authorizations, rights or requirements required by law which he does not have;
infringes patents, trademarks, copyrights or other third party rights;
contains computer viruses or any program or software designed to interrupt, destroy, damage or even limit the functionality of any software, hardware or network equipment or the Services or the Site themselves;
is in any way harmful to Tglobal, to Members, to Users or to third parties.
The User guarantees the good quality of the Content he publishes and the suitability of the same for the use for which they are intended.
Tglobal reserves the right to integrate content in order to improve the user experience on the platform and increase sales opportunities.
We will also update the “Last Updated Date” at the bottom of these Terms. By continuing to access or use the Site, Application or Services from the publication of a change to the Site or through the application or from the notification of a change, the User agrees to be bound by these amended Conditions. If it deems such changes unacceptable, the only possibility of recourse will be to cease using the Site, Application and Services in question.
Use of External Applications
The use of the application is subject to the implicit acceptance of the Terms and Conditions.
The information obtained is to be considered as purely indicative.
Intellectual and industrial property rights
In the event that users hold all the rights to such communications or Contents, they explicitly grant Tglobal and its designated licensees a non-exclusive license, with the perpetual right, and worldwide, to copy, distribute, display, execute , publish, translate, adapt, modify, and or use such material for any purpose, regardless of the form or medium (now known or currently unknown) in which it is used.
It is forbidden to publish confidential or protected information such as intellectual or industrial property rights on the site, unless otherwise agreed in writing.
Tglobal respects the intellectual property of others, and demands the same respect from its users. If a User of the Site believes that his intellectual or industrial property rights or others have been infringed by a publication on the Site by another User, the User himself, within 48 hours of the discovery of the infringement, must immediately send a communication pec to Tglobal S.r.l.
To be effective, the notification must include:
The physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted Content that is believed to have been infringed;
Reasonably sufficient information for us to contact the complaining party, including address, telephone number and, if available, the email address at which the complainant can be contacted;
The identification of the material that is believed to be the subject of illegal activity and the information reasonably sufficient to allow us to identify the material;
A statement in which the injured party believes in good faith that the use of the material is not authorized by the copyright Ted, by the agent in charge or by the law;
A statement in which the injured party declares that the information contained in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right, allegedly infringed.

The User accepts that upon receipt of a copyright infringement complaint notice, Tglobal can immediately remove the materials identified from our Site without any liability to Users or third parties.
The User of the Site undertakes to release, defend, indemnify and hold Tglobal and its affiliates and subsidiaries, and their officers, directors, employees and agents harmless from and against any and all claims, liabilities, damages, losses and expenses, including, without limitation, reasonable legal and accounting fees, arising from, or in any way related to:
access or use of the Site, Application, Services or Contents by them or the violation of these Terms by them;
the Contents elaborated, transmitted, copied, sent, made available by the Members;
any of the following actions performed:
interaction with any User,
the Reservation of an Item, or the creation of an Ad;
Tglobal S.r.l. reserves the right, in its sole discretion, to organize the defense with a lawyer of its choice, against all legal claims, lawsuits or any other nature that require financial compensation from the User or the User, without the User or the User can object to anything.
Relationship between the parties
The rights and obligations of the parties must be limited to those expressly indicated in this document.
Tglobal is not responsible for the relationships created between users.
In any case, through the Site, Users undertake to comply with all national and international laws and all regulations currently in force for the use of our Services in relation to the activities carried out on the Site by the Users themselves. Furthermore, if you have a commercial activity on the Site, and, in particular, in the case of a professional User, you must comply with the rules, regulations and all the laws of commerce. Tglobal recommends seeking the opinion of a professional consultant or lawyer on these issues;
All communications to the attention of Users will be sent to the email address provided when registering on Tglobal. Messages and notifications are considered received 24 hours after sending the email, unless a notification has been received indicating that the email address is invalid or not working.
Modifications of the service or variation of the conditions
Tglobal reserves the right to modify the Services, policies, these General Conditions of Use and the Terms of Service at any time to offer new products or services or to comply with legal and regulatory provisions.
The User will be subject to the policies and terms of the General Conditions of Use from time to time in force when using the Tglobal Services. Should any provision of these conditions be deemed invalid, null or for any reason unenforceable, this condition will in any case not affect the validity and effectiveness of the other provisions.
In the event of failure by a User to comply with these General Conditions of Use, the failure by Tglobal to exercise the right to act against him does not represent a waiver of action for the violation of the obligations assumed by the User.
8.a Applicable law
These Conditions are regulated and interpreted in accordance with the laws of the Italian Republic.

For any dispute that may arise regarding the interpretation, execution and termination of this contract, the Court of Palermo is competent.
For anything not contemplated in this contract and to complete it, express reference is made to the provisions of the Civil Code and the legislation in force on the subject.
